End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is between you (“User”) and PCB Software Inc. d/b/a Inly (“Inly,” “we,” “our,” or “us”). It governs your use of Inly’s software applications, mobile apps, and related services (the “Software”).By creating an account, installing, or using the Software, you agree to be bound by this Agreement and our Terms of Use and Privacy Policy. If you do not agree, you may not access or use the Software.
1. License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business purposes and in accordance with this Agreement.
2. Restrictions
You may not:
- Copy, modify, or create derivative works of the Software.
- Reverse engineer, decompile, or disassemble it.
- Rent, lease, sublicense, or distribute it.
- Circumvent security features or licensing controls.
- Use the Software for unlawful or competitive purposes.
3. Ownership
The Software is licensed, not sold. Inly retains all rights, title, and interest, including all intellectual property rights.
4. Accounts & Access
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. We may suspend or terminate your account if you breach this Agreement.
5. Updates
From time to time, we may provide updates or enhancements. These are included under this Agreement unless accompanied by separate terms.
6. Fees & Payment
Use of the Software may require payment of subscription or service fees. Non-payment may result in suspension or termination.
7. Termination
We may terminate this Agreement immediately if you fail to comply with its terms. Upon termination, you must cease using the Software.
8. Disclaimers
The Software is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, Inly is not liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the license fees you paid in the twelve (12) months preceding a claim.
10. Governing Law & Disputes
This Agreement is governed by the laws of Delaware, without regard to conflicts of law. Disputes will be resolved by binding arbitration in Delaware, except for small claims matters.
11. Entire Agreement
This Agreement, together with our Terms of Use and Privacy Policy, forms the entire agreement between you and Inly concerning the Software.
